Governance structures to be evaluated include the Full Board, Individual Board members, and six Board Committees.
OBJECTIVES
- Evaluate the effectiveness of the Board and Committees in fulfilling their mandates and achieving strategic goals.
- Assess governance, decision-making, oversight, and risk management practices.
- Conduct a peer review of individual Board members' contributions and alignment with governance best practices.
- Assess individual Board and Committee members' skills, knowledge, expertise, and fit within the governance structure.
- Identify opportunities for member development, training needs, and succession planning.
- Recommend enhancements to governance processes and structures to drive effectiveness, accountability, and transparency.
- Utilise a mixed-methods approach incorporating both quantitative and qualitative tools.
- Conduct structured one-on-one interviews with Board members and stakeholders.
- Administer peer review surveys to assess individual Board members' engagement and performance.
- Use competency-based assessments aligned with DBSA's governance frameworks.
- Analyse governance documents and previous performance reviews.
- Comprehensive Evaluation Report presenting key findings from assessments of the Board, Committees, and individual members.
- Peer Review Report providing detailed feedback and assessments of each Board member's performance.
- Gap Analysis Report identifying performance or capability gaps and providing actionable recommendations.
- Presentation summarising key findings and recommendations for the Board's review and action.
- Experience in conducting Board evaluations and directors' assessments with expertise in corporate governance, particularly in the public sector and development finance institutions.
- Key technical assessment criteria include a proven record in conducting similar evaluations and deep knowledge of corporate governance principles.
